Seller Agreement

1. Who can sell

• You must be 18 or older (or sell with a parent's or guardian's permission and supervision), and complete seller setup: verified phone and email, address, PAN and a verified bank account in your own name.
• Your legal name must match your PAN, and the details you give must be true. OmniX may ask for further verification (KYC) before paying out.

2. What you can sell

Digital products you created or have the right to sell, such as ebooks, guides, courses, templates, graphics, documents, presets, fonts, music and similar files. You must not sell:

• anything you don't own the rights to: pirated courses, other people's work, leaked or resold paid content, or anything using brands, characters or real people without permission;
• programs, scripts or files containing malware (OmniX blocks executable file types);
• illegal, hateful, sexually explicit, violent or misleading content, exam papers obtained improperly, or fake documents;
• physical goods, services or anything that isn't a downloadable digital product.

3. Listings and review

• Describe products accurately, with honest previews. Previews are watermarked automatically.
• New listings, and changes to a live listing's content, may be reviewed by OmniX before they go live. We can reject or take down listings that break this agreement, and we'll tell you why.
• AI assist suggestions are optional; you remain responsible for everything in your listing.

4. Fees and how you get paid

• Buyers pay OmniX through Razorpay. For each sale you earn your seller share of the price: 70% unless your Seller Dashboard shows a different share for the product's category. OmniX keeps the rest and pays the payment gateway fee. Sales through your shareable links and through affiliates earn you the same share. Your Seller Dashboard shows the breakdown for every order.
• Offers: sales and coupons you create are funded by you: your share is worked out on the discounted price the buyer pays. When OmniX runs its own offer (for example a festival sale), OmniX pays for that discount and you earn as if the buyer paid the full price. Offers must be genuine: don't raise a price just to show a bigger discount.
• Each sale's earnings are held for 7 days (the refund window) and then become payable. OmniX pays payable earnings to the UPI ID or bank account in your payout details, once your account (and any required KYC) is verified. Refunded sales aren't paid; if a sale is refunded after you were paid for it, that amount is deducted from your next payout.
• OmniX may deduct tax at source where Indian law requires it (for example under section 194-O of the Income-tax Act, 1961). You are responsible for your own income tax and, if applicable, GST.

5. Refunds

Buyers can ask for a refund within 7 days under the Refund & Cancellation Policy. OmniX decides refund requests. If a sale is refunded, you don't earn on it, and any amount already paid to you for it may be deducted from future earnings.

6. Rights you give OmniX

You keep ownership of your products. You give OmniX a non-exclusive, worldwide, royalty-free licence to store, deliver, display and promote them (including watermarked previews, thumbnails and search) and to deliver them to buyers, for as long as they're listed and afterwards for buyers who already own them.

7. Buyer data

You see buyers' first names and private tags, not their contact details. Use any buyer information only to support your sales on OmniX, and never contact buyers to take sales off the platform.

8. Suspension and ending this agreement

• We may suspend your store for breaking this agreement, copyright complaints, fraud or legal reasons. While suspended, your listings are hidden and payouts may be paused; buyers keep what they bought. We'll tell you the reason.
• You can stop selling at any time by hiding your listings and contacting support to close your store. Money owed to you is paid out once refunds and any disputes are settled.

9. Responsibility

You are responsible for your products and the claims you make about them, and you agree to cover OmniX's reasonable losses if your products break the law or infringe someone's rights. Disputes are governed by Indian law and the courts of [City].
